My question involves business law in the state of: California
I raised money for a corporation in California under a regulation d-504 ppm for about 5 years. I was terminated and sent my stock certificates to the company to have them put into a trust its been over a year and they haven't given me my stock back. The company is private and the stock isnt worth anything yet but I have around 750,000 shares and I want to get them all back. Also once I started looking into it I found out they failed to register the Form D with the sec for the company when they changed names and changed all of our stock certificates over to the new name. What is the best way for me to get my stock? Are the certificates valid without the filing of the reg-d with the new company name?
