Default What Constitutes A Business Contract

Our company entered into an agreement which has been detailed in correspondence emails with company 'Y'. There are no signed agreements between us. We definitely had a 'meeting of the minds' on terms. The emails are very explicit on how the partnership will work. For the most part, the agreement is being fulfilled by both parties to the letter. However, company 'Y' now wants to renege on certain terms of the agreement. We understand that any contract can be revisited and renegotiated. While our intent is not to enter into a legal battle with them, we are interested in knowing what our legal rights are. Note that company 'Y' is in California and we are in New York. We appreciate any help you can provide in this matter. Thank you.

Take all of the email correspondence and any other documentation you have to a lawyer, have it reviewed, and have your lawyer help determine if the provisions you wish to enforce are in fact documented and supportable based upon that documentation.
