Does the fact that there was never a promissory note discussed or signed before the fact, change anything? Friend #1 says, " hey I will pay this for your son and I will get to use it for the business too.
Friend #1 asked Friend #2 to sign the note After friend #1 paid for the service.
Friend #2 did not provide the service.. a third party did. All Friend #2 did was sign the note. Remember there wasn't an agreemnt when it would be paid back. The due date showed up later. When Friend #1 sent friend #2 a copy. The notary signature was added after the signatures also.
The issue was, Friend #1 paid for a service that Friend #2's SON received the benefit. Friend one used this opportunity to advertise and market his company. So friend #1 received a benefit for his $. He even deducted the marketing & advertising from his taxes.
Friend #2 did not recieve any benefit. Unless it was through his son.
I know it sound complicated but we are talking about $25k....
