    Default Intellectual Property Protection

    Hi all,
    Have a question about intellectual property protection. If one has a formula for a product and someone is interested in licensing the product to manufacture and sell, is there anything else I would need to aquire prior to providing a "sample" and the formula except for a confidentiality agreement and agreement not to disclose ? What about some sort of agreement that prohibits the other party from just stealing the formula and making the product themselves...is there a name for this agreement ? The formula is not patented yet....
