    Default Do You Hace to Register a LLC With the State Before Conducting Business

    My question involves business law in the state of: California

    I signup for a llc number online I havnt don't anything to file taxes on . do I have to register this with state of California ? also do I have to mention this when filing taxes if no money is made no business done .? thanks for the help

    What do you mean that you signed up for a “LLC number online”? That could mean any number of things. In order to do it right, you need to have a charter drafted for the LLC and you need to organize it with the state. If you wish to set it up in California, that means you have to file a Form LLC-1 with the State Secretary of State and pay the $70 fee for it. Note that nearly every LLC that is either (1) organized in California or (2) organized outside of California and does business in California has a minimum annual franchise tax of $800. So if you set up this LLC in California you may have to pay $800/year for this tax even if you do nothing with it.

    If you are the only owner of the LLC then for federal and state income tax purposes the income of the LLC will be treated as though it was your sole proprietorship business. That means you report the income and expenses of the business on your personal income tax returns.

    If you are going to conduct business, you really need to consult a business attorney to help you decide the best way to set up the business and to help you do it right. Especially in California, in addition to setting up any corporation or LLC that you want to use, you may have one or more state and local business licensing or registration requirements that you need to meet. If you miss something that you are supposed to do, or you don’t do it right, it can be very costly — a lot more than you would pay an attorney now to make sure everything is done correctly.
