I founded a startup in Delaware with several other founders. I own an important chunk of shares (around a 10%) and, after 5 years (still with no profits) I had to leave for economical reasons. All my shares had already been vested.
I was made an offer that was too low in my opinion, so I decided to keep my shares.
Since then, in two years, there has been 0 communication from the company's side. I've been poking them from time to time and they used to answer me, but recently I'm not even getting answered.
I understand I need legal assistance, but I cannot afford it by now. However, having an answer to some questions would be really helpful:
- As a shareholder, what information can I demand that they send me about the company, and how often should they be sending it to me (with no charge, I live in Europe)?*
-*I changed my residence. I notifyed them by email, and I got an answer from the CEO to that email. Is that valid? Otherwise, how should I notify them my address change so they cannot argue they have been notifying me on my old address?
- Is there an official bulletin or something similar where every company has to make public their decisions (for instance, if they release more shares), so, even if they don't tell me, I can stay tuned and act accordingly.
- Might i have I signed something that allows a lawyer from Delaware to act in my name? I am 100% sure i didn't, but all that happened 7 years ago and i don't understand how they can act without me signing or participating in anything. If it were so, how could I revoke that if I don't even know who's the lawyer?
- By the fact of not notifying me of anything related to the company, are they breaking the law? Or is it only my responsibility to ask periodically for the company's information and decisions?
