Your best bet is to have a contract attorney in your area review the contract & get his/her advice.

I joined company A on 1099 to take up new poject in different city where i live. The company A had contract with the vendor company B.
I joined the project and was not able to continue it due to personal/family issue and left company A as I got verbal approval from the Client.

Now the vendor company sent Breach of contract notice to Company A wiht 7 counts and also sent a breach of contract on my name (consultant).

I've not signed any contract with company B, except the Confidential Information agreement.

My question is am I liable to company B?

Default Breach of Contract By a Consultant

My question involves employment and labor law for the state of: NJ

I'm an independent consultant and joined company A for a new project. The company A entered into contract with the vendor company B. Due to personal/family issue i had to leave the project without 2 weeks notice as I got verbal approval from the Client.

Now the vendor company B sent Breach of contract notice to Company A and to me(consultant). I've not signed any contract with company B, except the Consultant Confidential Information agreement.

Below is the breach of contract details that were done between company A and B, does this applies to the consultant? or to the company A since the contract has been between Comapany B and A Please advice.

Any breach of any provision of this Agreement by Contractor or its personnel entitles Comapany B to recover from Contractor damages and injunctive relief. Contractor agrees that because monetary damages are likely to be inadequate, Company B shall be entitled to temporary injunctive relief (by proving to a court a likelihood or breach by Contractor) and to permanent injunctive relief (by proving to a court such breach). If Comapany B is successful in recovering damages or obtaining injunctive relief, Contractor agrees to be responsible forpaying all of Comapany B expenses in seeking such relief, including all costs of bringing suit and all reasonable attorney’s fees.

Can you please respect the forum rules and, rather than double-posting questions, stick with the thread you've already started? Thanks.

We cannot evaluate whether you've violated the contract based upon the tiny amount of information we have. As it stands, you still need to run it past a lawyer in your state.
