Can You Accept an Offer After Making a Counter-Offer
In a contract negotiation for the sale of goods, the seller made an offer to the buyer. The buyer responded with a counter-offer, asking for a lower price. The seller did not respond. The buyer then reconsidered and communicated that he was willing to accept the original offer. Does that acceptance create a binding contract?

Under typical state law, a counter-offer constitutes a rejection of the offer. Accordingly, once the counter-offer was made, the offer was likely no longer enforceable and it is likely up to the seller to decide whether or not to accept the 'acceptance'.
