I came to US on a L1B Visa. While in US I applied for a H1. The H1 is not yet approved but I do have the receipt number.
Will I be out of status if I resign from my L1 sponsoring company, before the H1 gets approved.

You must maintain legal status. Resigning without other action will make you out of status. You also must realize that your employer should notify the USCIS that you no longer are working in your L1B position.
H1B approval is not guaranteed.
