    Question Phone Book Ad

    My question involves collection proceedings in the State of: Pa

    I was once and officer in a small business corp. I signed an add contract for a local phone book advertizing.

    Shortly after, the company goes out of business and everyone was let go.

    However, the phone book company is sending me letters at my home address saying I am personally responsible for the business ad. This last letter was getting a little aggressive.

    I did not personally agree to pay for this advertizeing. I just signed the papers as an officer of the corp. which no longer exsists.

    Am I responsible?

    What does the contract say?

    Many contracts include a clause as to who is responsible should the business fold. Does your contract have such a clause?

    For small businesses, sometimes the contract also provides for a personal guarantee. Did you personally guarantee the debt when you signed the contract? (You will have to read the contract to find out.)

    I'll have to aquire a copy of the sales contract to find this information. The sales lady never disclosed to me my personal responsibility for the business add.

    Had I known this clause was in the contract, I would have never signed. Nor would anyone else. I have nothing to gain from a now closed business add.

    I signed as a represenative of the company.
