Dispute for Control by Corporation's Owners

My question involves business law in the state of: IL

ok so if guy 1 forms a corporation and is contracting a building for business purposes. Guy 1 is listed as principal on the contract along with Guy 2 and Woman 1 as co. Guy 1 is forced out by Woman 1 and Guy 2. 4 years later Guy 2 is forced out by Woman 1 and Family. They redo the corporation however Guy 2 was still on the new corporation of the same name. 1 year later Guy 2 comes to Guy 1 and tells him they are plannin to auction off the building and all the assets (no debt except contract). Guy 2 wants Guy 1 to majority vote to keep the property because he knows Woman 1 and Family will use all of it for personal gain (not for profit business). Any input feel free to private message me. Just wondered if Guy 1 & Guy 2 can overpower since they are both listed on the contract and takeover the building once again. thanks in advance

They need to read their corporate bylaws, as well as consider their relative stock ownership and equity.

Ive been trying to get a copy of the bylaws but since this is the largest chapter and "owned by the membership of" its been kind of hard.
