    Default Backing Out of an LLC

    My question involves business law in the state of: MA

    What steps should I take to remove myself from an LLC? No operating agreement, nothing more than a state filing.

    I don't want any money from the company. I want to be sure to cover my butt in terms of responsibility or lack thereof once I am out.

    Enter into a contract with the other members, defining the terms of your withdrawal from the LLC. I personally would want to include 'hold harmless' and 'indemnification' language - you may want to have it drafted by a lawyer. You also want to make sure that any filings with the state are updated, such that you're no longer associated with the LLC (if you're named on any of the current filings). If you've personally guaranteed any loans or other obligations, make sure that you're released from any liability by both the other member(s) and the lender/supplier/whomever.
