    Default Revoked LLC Still Conducting Business

    My question involves business law in the state of: New Jersey & North Carolina

    I found out this production company's business license was revoked in 2006 due to failing to file annual report for 2+ years (fees & documents)

    I didn't know this until last week. I signed a recording contract with them in August of 2010. If they chose not to compensate me, can I sue them for silent fraud and seek restitution?

    If they don't compensate you, you can sue for the compensation they owe. If the LLC has lapsed you may be able to reach the personal assets of the members if the (former) LLC's assets are not sufficient to cover what they owe.
